CinemaWorks Arranges $100,000 Private Placement

April 2, 2008

Cinema Internet Networks Inc. (d.b.a. “CinemaWorks) has arranged, with Exchange approval, a private placement of up to $100,000 which will result in the issuance of up to 2,000,000 units at a price of $0.05 per unit.  Each unit consists of one common share and one share purchase warrant exercisable into an additional common share of the Company at a price of $0.10 per share for a period of two years. Certain members of the Board of Directors (Insiders), present shareholders and other qualified investors will be participating.  Finder’s fee may be payable, and the Company anticipates having multiple closings.  The proceeds of the private placement will be used for working capital and business development.

CinemaWorks Announces Extension to US$4.5 million Convertible Debenture Financing

March 28, 2008

Cinema Internet Networks Inc. (the “Company”) announces a 45-day extension from March 28, 2008 to close the US$4.5 million convertible debenture financing filed February 14, 2008. The convertible debenture has a five year term and is convertible into shares of the Company after the first year at the weighted average price of the previous 90 trading days prior to the conversion date with the “weighted average price” defined as the arithmetic average of each 30 day period weighted with the other two 30 day periods of the quarter. There is a minimum conversion price of CDN$0.25 per share. The convertible debenture includes a detachable warrant exercisable into 2,000,000 shares. The warrant may be exercised any time within one year at a price of CDN$0.25 per share for a total exercise price of CDN$500,000. The funds raised are being used to expand CinemaWorks existing business.

The financing remains subject to TSX Venture Exchange final acceptance.  Finders’ fees will be payable in accordance with TSX Venture Exchange rules.

CinemaWorks to Acquire WiFi Wireless Mesh Operator


Cinema Internet Networks Inc. (the “Company”) intends to acquire 51% of Expansive Networks Corp, a provider of next-generation wireless networks for residential, business, and enterprise markets, particularly in underserved rural markets in British Columbia and Alberta. In addition, Expansive has tested the WiMax 3.5 GHz equipment and has an agreement for use of this frequency in approved areas of BC.

CinemaWorks Signs Strategic Operating Agreement with DataStreamWorks for Fiber Distribution of IPTV

October 30, 2007

Vancouver, B.C. – (TSX.V: CWK) Cinema Internet Networks Inc. (“CinemaWorks”) has contracted with DataStreamWorks Inc. (“DSW”) of Vancouver to manage and provide technology that enables the delivery of services by CinemaWorks to subscribers on its fiber networks. This provides CinemaWorks a key strategic alliance partner to implement and maintain the triple play of voice, data and IPTV, plus future services.

Under the operating agreement between the two companies, CinemaWorks will purchase and co-locate equipment to initially aggregate and deliver 40 channels of television and on-demand PPV movies. As a separate, but important part of the strategic relationship, the companies will jointly seek additional customers for CinemaWorks content.

A primary target market will be underserved rural areas of British Columbia, Alberta and elsewhere in Canada. As such, the first distribution of IPTV will be to Radium Hot Springs, BC, a fiber network owned and operated by Nanofibre Networks.

Shares for Debt

Vancouver, B.C. – (TSX.V: CWK) Cinema Internet Networks Inc. (“CinemaWorks”) today announced that it has issued an aggregate of 3,636,167 common shares at a price of $0.05 per share in settlement of outstanding debt totaling $181,808.39. The shares will be subject to a
hold period of four months until February 19, 2008.

The transaction will settle short-term debt totaling $92,640 by issuance of 1,852,800 shares to Mr. William E. Massey. Mr. Massey’s holdings will be 8.5% of the post-closing number of issued and outstanding shares.
Under the same submission, the Company is additionally setting debts totalling $7,400 to a director of the company.

Private Placement

The Company announces that it is arranging a private placement of up to $300,000 which will result in the issuance of up to 6,000,000 units at a price of $0.05 per unit. Each unit consists of one common share and one share purchase warrant exercisable into an additional common share of the Company at a price of $0.10 per share for a period of two years. CinemaWorks to Provide HDTV, Specialty TV, and On-demand Movies to Simon Fraser University Students Over Fiber Network

CinemaWorks and Data Fortress Sign Fiber-to-the-Premise (FTTP) Business Development Agreement

Vancouver, B.C. – (TSX.V: CWK) Cinema Internet Networks Inc. (“CinemaWorks”) and Data Fortress Systems Group Ltd. (“Data Fortress”) have signed a Fiber-To-The-Premise (FTTP) business development agreement to co-develop and sell fiber optic broadband services to business and residential customers in downtown Vancouver, British Columbia.

The companies will offer the triple play of voice, high speed Internet and IPTV to subscribers via Data Fortress’ fiber network which passes approximately 60 high rise buildings in the downtown core.  

“This is the first of many fiber network projects that CinemaWorks and Data Fortress will jointly develop”, said Bill Massey, CEO of CinemaWorks. “With our combined networking experience and Data Fortress’ inhouse expertise the project possibilities are extraordinary.”

This agreement is in succession to the Memorandum of Understanding between the two companies which was announced on June 22 of this year.

CinemaWorks Forms Alliance to Provide “Extreme Broadband” Open Access Internet Networks and Services

May 28, 2007

Vancouver, B.C. – (TSX.V: CWK) Cinema Internet Networks Inc. announces the formation of the CinemaWorks Extreme Broadband Development Alliance (CEBDA). CEBDA projects will typically use fiber-to-the-building (FTTB) along with broadband wireless and broadband-over-powerline (BPL) to provide an open access IP network providing unrestricted Internet services and content to campuses, MDUs, and municipalities. The scope and expertise of CEBDA members includes all aspects of the infrastructure necessary to deliver broadband connectivity, including fiber and wireless to buildings as well as in-building broadband distribution (featuring 200+ Mbps BPL, Ethernet, 300+Mbps DSL and wireless). In addition, the alliance will provide commercial grade VoIP and high quality IPTV content, the latter provided by CinemaWorks through 15 years experience as a pay-per-view movie and television provider to the hospitality industry.

Bill Massey, CEO of CinemaWorks noted: “We will provide a remarkable bundle of services including groundbreaking IPTV, commercial quality VoIP, in addition to broadband Internet services at speeds of up to 10 Mbps.
